Winhaitech Signs 2 Billion Won Share Buyback Trust and Raises 2 Billion Won from Major Shareholder
Winhaitech (192390) has signed a trust agreement for the acquisition of its own shares worth 2 billion won and conducted a third-party allocation of new shares worth 2 billion won targeting its largest shareholder. On the 13th, the company announced that it had entered into a contract with Eugene Investment & Securities to stabilize its stock price and enhance shareholder value. The capital increase was decided to strengthen responsible management, with the largest shareholder, S&Global, included as a subscriber. A total of 935,017 common shares were issued at 2,139 won per share, and the new shares were additionally listed on August 11. A premium rate of 29% was applied to the capital increase for the largest shareholder. The third-party allocation of new shares is a method of raising funds by allocating new shares to specific investors, and if the largest shareholder participates, it leads to an influx of funds and an increase in the number of shares held. However, the overall increase in the number of issued shares due to the issuance of new shares may dilute the ownership percentage of existing shareholders. The trust agreement for the acquisition of its own shares is valid until December 1. Winhaitech continues to achieve supply results in the advanced industrial infrastructure market, including semiconductor factories and AI data centers, and plans to expand its business through its new product 'Apollo Beam'.
